1. Acceptance of Terms

By creating an account, accessing, or using TransactPro (the "Service"), you ("you," "User," "Customer," or "Brokerage") agree to these Terms of Service ("Terms"). If you are using the Service on behalf of a brokerage or other organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. The Service

TransactPro is a multi-tenant software-as-a-service application for licensed real-estate professionals and brokerages. It provides transaction management, milestone tracking, party communication, document storage, AI-assisted data extraction, and related workflow tools. The Service does not provide legal, tax, or real-estate brokerage services itself; it is a tool that brokerages use to manage their own business.

3. Eligibility & Accounts

You must be at least 18 years old and legally able to enter into a binding contract.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must provide accurate, current, and complete registration information, including your brokerage name, license number, and contact details.
You agree to notify TransactPro promptly of any unauthorized use of your account.

4. Subscription & Billing

The Service is offered on a subscription basis. Plan tiers, pricing, and free-trial terms are described on the Service's pricing page or in your subscription agreement.
Subscriptions automatically renew until cancelled. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period.
Fees are non-refundable except where required by law.
TransactPro reserves the right to change subscription fees on 30 days' written notice.

5. Acceptable Use

You agree NOT to use the Service to:

Violate any applicable law, regulation, or third-party right (including real-estate licensing laws, fair-housing laws, anti-discrimination laws, anti-spam laws, and intellectual-property laws).
Upload or share content that is illegal, fraudulent, defamatory, obscene, harassing, or that you do not have the right to share.
Use the Service to send unsolicited marketing communications to consumers who have not opted in.
Reverse-engineer, decompile, scrape, or attempt to extract source code or training data from the Service.
Use the Service to compete with TransactPro or build a competing product.
Interfere with or disrupt the Service's infrastructure or other users' access.
Misrepresent your identity, license status, or affiliation.

6. Customer Data

You retain all rights to data, documents, and content you upload or generate through the Service ("Customer Data").
You grant TransactPro a limited, non-exclusive license to host, process, transmit, and display Customer Data solely to operate and improve the Service for you.
You are solely responsible for the accuracy, legality, and appropriateness of Customer Data, and for obtaining any consents required from the parties whose information you upload (clients, co-op agents, lenders, etc.).
You acknowledge that real-estate transaction data may include sensitive personal information (names, addresses, phone numbers, email addresses, financial information, and in some cases Social Security or tax-identification numbers). You agree to handle such data in compliance with applicable privacy laws (including GDPR, CCPA, and state-level privacy laws as applicable).

7. AI Features

Some features (Contract Auto-Intake, receipt OCR, CMA comp extraction, pre-approval extraction) use third-party AI models to process documents you upload. You acknowledge that:

AI extractions are best-effort and may contain errors. You are responsible for reviewing and verifying all AI-extracted data before relying on it for legal, financial, or business decisions.
Uploaded documents are processed by Anthropic's Claude AI API. TransactPro does not use Customer Data to train AI models.

8. Intellectual Property

TransactPro and its software, design, branding, and content are owned by TransactPro and protected by intellectual-property laws. These Terms grant you only a limited, revocable, non-transferable right to use the Service. No other rights are granted.

9. Third-Party Services

The Service relies on third-party providers including (but not limited to) Anthropic (AI), SendGrid (email delivery), Twilio (SMS), Cloudflare R2 (object storage), Railway (hosting), and Netlify (CDN/hosting). Your use of the Service is also subject to those providers' terms where applicable.

9A. Text Messaging (SMS) Terms

If you provide your mobile number and opt in, your real estate agent and their brokerage may send you transaction-related text messages through the Service (delivered via Twilio). These include appointment and milestone reminders, status updates on your transaction, document requests, and replies to messages you send. We do not send marketing or promotional text messages through this program, and consent to receive texts is never a condition of any purchase or service.

How you opt in: you enter your mobile number and check an unchecked SMS-consent box on your agent's intake form (for example the buyer or seller intake form), or provide your number directly to your agent. The consent box reads: "I agree to receive transaction-related text messages (appointment reminders, milestone status updates, and document requests) from my real estate agent and their brokerage at the cell number provided above. Message frequency varies. Message and data rates may apply. Reply STOP to unsubscribe or HELP for help. Consent is not a condition of any purchase or service."

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. TRANSACTPRO DOES NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TransactPro is not a real-estate brokerage, law firm, accounting firm, or financial advisor. Nothing in the Service constitutes legal, tax, accounting, or real-estate advice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSACTPRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUES, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. TRANSACTPRO'S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless TransactPro and its affiliates, officers, and employees from any claims, damages, or expenses (including reasonable attorneys' fees) arising from (a) your violation of these Terms, (b) your Customer Data, or (c) your violation of applicable law or third-party rights.

13. Termination

You may terminate your account at any time. TransactPro may suspend or terminate your access immediately if you violate these Terms or for non-payment. Upon termination, your right to use the Service ends and TransactPro may delete your account and Customer Data after a reasonable retention period.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Orange County, Florida, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

TransactPro may update these Terms from time to time. Material changes will be communicated by email or through the Service. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
